By accessing or using Neige, Inc. (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Neige provides generative video and images workflow builder. The Service is provided on a subscription basis and may be modified or updated from time to time.
3. User Accounts
3.1 Registration
- You must create an account to use certain features of the Service
- You must provide accurate, complete, and current information
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old to create an account
3.2 Account Responsibilities
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- You may not share your account credentials with others
- You may not create multiple accounts to circumvent restrictions
4. User Conduct
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other user accounts
- Use the Service for any illegal or unauthorized purpose
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scrapers) without our written permission
- Resell or redistribute the Service without authorization
5. Intellectual Property
5.1 Service Ownership
- Neige owns all rights, title, and interest in the Service
- These Terms do not grant you any ownership rights to the Service
- Our trademarks, logos, and branding may not be used without permission
5.2 Your Content
- You retain ownership of content you upload to the Service
- You grant us a license to use, store, and process your content to provide the Service
- You represent that you have all necessary rights to the content you upload
- We may remove content that violates these Terms
6. Payment Terms
6.1 Subscription Fees
- Subscription fees are charged in advance on a recurring basis (monthly or annually)
- All fees are in USD and are non-refundable except as stated below
- Prices may change with 30 days’ notice to active subscribers
- You authorize us to charge your payment method automatically
6.2 Refunds
- We offer a 2-day money-back guarantee for new subscribers
- Refunds after the guarantee period are at our sole discretion
- No refunds will be provided for partial subscription periods
6.3 Failed Payments
- If payment fails, we will attempt to contact you
- Your account may be suspended or terminated for non-payment
- You remain responsible for any uncollected amounts
7. Service Availability
7.1 Uptime
- We strive to maintain high availability but do not guarantee uninterrupted service
- The Service may be unavailable during maintenance, updates, or due to circumstances beyond our control
7.2 Modifications
- We may modify, suspend, or discontinue any part of the Service at any time
- We will provide reasonable notice of material changes when possible
- We are not liable for any modification, suspension, or discontinuation of the Service
7.3 Data Backup
- You are responsible for maintaining backups of your content
- We are not responsible for loss of data due to service interruptions or account termination
8. Termination
8.1 Termination by You
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- No refunds will be provided for the remaining subscription period
8.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- Your payment method fails repeatedly
- We are required to do so by law
- Continued service would harm our business or other users
8.3 Effect of Termination
- Upon termination, your right to use the Service immediately ceases
- We may delete your account and content after 365 days
- Provisions regarding intellectual property, liability, and dispute resolution survive termination
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEIGE SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any damages arising from your use or inability to use the Service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
9.3 Exceptions
Some jurisdictions do not allow limitations on warranties or liability. In such cases, these limitations apply to the fullest extent permitted by law.
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of California/United States, without regard to conflict of law provisions.
10.2 Informal Resolution
Before filing a claim, you agree to contact us at dylanmerigaud.pro@gmail.com to attempt to resolve the dispute informally.
10.3 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in California/United States, except for:
- Claims for injunctive relief
- Claims related to intellectual property rights
- Small claims court matters
10.4 Class Action Waiver
You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class-wide arbitration.
11. Changes to Terms
11.1 Notification
- We may update these Terms from time to time
- We will notify you of material changes via email or through the Service
- Changes take effect 1 days after notification
11.2 Continued Use
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
12. General Provisions
12.1 Entire Agreement
These Terms constitute the entire agreement between you and Neige regarding the Service.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
12.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
